General terms and scope

These Terms of Service describe the relationship between you and notaryoify in relation to legal advisory and related services provided to clients in the information technology sector. They set out eligibility, obligations, service descriptions, payment, intellectual property, limitations, and dispute handling. Use of our website or engagement of our services constitutes acceptance of these terms to the extent permitted by applicable law.

Eligibility to use services

Services are available to individuals and entities able to enter into binding agreements under applicable law. By using our services you represent that you have authority to do so and to bind any organization on whose behalf you act.

You must be at least 18 years old to engage services directly. If you are acting on behalf of an organization, you confirm you have the legal authority to bind that organization.

You agree to use our services for lawful purposes only and not to submit materials or instructions that facilitate illegal activities or violate third-party rights.

notaryoify provides services primarily within Thailand. Some services may be subject to local licensing requirements; availability may vary depending on jurisdiction and applicable professional regulations.

Account and access

To access certain services or client portals you may be required to create an account. Account creation requires accurate and current information and acceptance of these terms.

You are responsible for ensuring that information provided to notaryoify is complete and accurate. Update account information promptly if details change.

Protect credentials and access to any client portal. Notify notaryoify immediately if you suspect unauthorized access or a security breach.

Accounts are personal and non-transferable unless otherwise agreed in writing. Access is limited to authorized users only.

If you suspect your account has been compromised, contact us immediately at +66900426002 and provide relevant details for contribute. We will take reasonable steps to assist with containment and recovery.

We reserve the right to suspend or terminate accounts where there is suspected fraud, unauthorized use, or breach of these terms, subject to applicable notice requirements.

Our services

notaryoify provides a range of legal services for the IT sector, including contract drafting and review, corporate structuring, intellectual property consultation, data protection compliance, and regulatory advisory relevant to software, platforms, and digital services.

Service offerings may be modified over time. We will communicate substantive changes to existing clients and update service descriptions on our website.

Service delivery depends on resource availability and compliance with professional and regulatory obligations. We aim to meet agreed timelines but do not guarantee uninterrupted availability.

User responsibilities and conduct

Clients and users must act responsibly when interacting with notaryoify systems and representatives. The following rules apply:

  • Provide accurate and complete information necessary for legal services.
  • Do not attempt to use the service for unlawful activities or to facilitate infringement of rights.
  • Respect intellectual property and confidentiality obligations of third parties.
  • Refrain from submitting malicious code, spam, or materials intended to disrupt operations.
  • Comply with export controls and other legal restrictions applicable to cross-border transactions.
  • Do not attempt to gain unauthorized access to systems, data, or accounts.
  • Cooperate with reasonable requests for information necessary to provide services or comply with legal obligations.

User content and submissions

Content you provide to notaryoify in the course of obtaining services may include documents, technical specifications, and other materials necessary for advice or representation.

You retain ownership of materials and information you submit to us, subject to any pre-existing third-party rights.

By submitting content you grant notaryoify a non-exclusive, royalty-free license to use, reproduce, and process the content as necessary to provide the requested services and to comply with legal obligations.

You are responsible for ensuring that submitted content does not violate third-party rights, contain confidential information not permitted for transfer, or breach applicable laws.

Requests to remove user-provided content will be assessed in context, balancing contractual commitments, legal obligations, and operational needs. Removal may be limited where retention is required by law.

Intellectual property rights

All intellectual property rights in materials created and provided by notaryoify in the course of professional services remain with notaryoify unless otherwise agreed in writing. Client-owned IP remains with the client subject to any agreed license for use in the engagement.

  • Do not reproduce or distribute materials created by notaryoify without written permission unless explicitly allowed by the engagement terms.
  • Do not attempt to reverse-engineer or decompile proprietary deliverables provided by notaryoify.
  • Do not use notaryoify activity, logos, or branding without prior written consent.

Paid services and fees

Certain services require payment of professional fees or retainers. Fees are set out in engagement letters, proposals, or invoices and are subject to the terms below.

Pricing is determined based on scope, complexity, and applicable local market rates. Estimates are provided for guidance; final charges reflect actual work performed and disbursements.

Payment methods may include bank transfer or other methods agreed at engagement. Payment terms are set out in the engagement agreement. Timely payment is required to continue services.

If a subscription or retainer arrangement is agreed, details on renewal, billing cycle, and termination will be provided in writing. Recurring fees will be billed as set out in the agreement.

Refunds or fee adjustments are considered on a case-by-case basis in accordance with the specific engagement terms and relevant professional rules.

Clients may cancel services in accordance with the notice requirements set out in the engagement agreement. Cancellation may not relieve the client of obligation to pay for services rendered up to the effective cancellation date.

Clients are responsible for any taxes, duties, or governmental charges associated with services, except where notaryoify is required to collect such charges under law.

Fees and pricing structures may be updated with notice to clients; existing engagement agreements will govern fees for their specified term unless otherwise agreed.

Failure to pay may result in suspension of services, lien on deliverables to the extent permitted by law, or referral to collections, subject to applicable professional conduct rules.

Limitation of liability

Third-party services and referrals

We may refer clients to third-party providers (such as translators, tax advisors, or local agents) where necessary. Referrals are for convenience; notaryoify does not control third-party services and is not responsible for their performance unless explicitly stated in an engagement agreement.

Termination

Either party may terminate an engagement in accordance with the terms set out in the engagement agreement. Termination may be immediate for cause or following any required notice period.

On termination, outstanding fees and reimbursable costs become due. notaryoify may retain copies of client files as required by law or professional obligations and will provide reasonable assistance for transition where applicable.

Privacy and data protection

Our privacy policy explains how we collect, use, store, and share personal data. By engaging our services you consent to processing consistent with that policy and applicable law. See the privacy policy for full details.

Communications and electronic consent

By providing contact details, you consent to receive communications related to the engagement by telephone, mail, or electronic means. For sensitive communications we will agree secure channels where appropriate.

Changes to these terms

We may update these terms from time to time. Material changes will be notified to existing clients and published on notaryoify.club. Continued use of services after updates indicates acceptance of revised terms.

Governing law

These terms are governed by the laws of Thailand. Subject to applicable mandatory rules, disputes will be resolved in the competent courts of Thailand unless otherwise agreed by the parties.

Dispute resolution

Parties should seek to resolve disputes through mutual discussion and reasonable negotiations. If unresolved, disputes may be addressed through mediation or litigation in accordance with the governing law clause and the engagement agreement.
